These are the service terms for Mr. Web Pro, a service of SEOD LLC (“we” or “us”). They apply to every Mr. Web Pro subscription. Your order form, signed or accepted in writing, sets out your business, your start date and your scope. Your order form and these terms together are our agreement. If the two ever differ, your order form wins.
1. This website
This site describes the Mr. Web Pro service. Sending an inquiry does not create a contract or commit you to anything. Mr. Web Pro is for businesses. It is not offered for personal, family or household use.
2. The service
For $450/month we build and host a website of up to five business pages for one business and one location, keep it maintained and secure, make monthly edits to your existing pages, provide recurring local SEO and Google Business Profile support, and set up Google Analytics and Search Console in your accounts.
Monthly edits cover reasonable changes to existing pages, such as text, photos, hours and small layout changes. New pages, new features, redesigns and other larger work are quoted in writing first and start only after you approve the quote.
We do not guarantee search rankings, traffic or leads. Search results depend on competition and on Google’s systems.
3. Price and payment
There is no setup fee. The $450 monthly fee is billed in advance each month, starting on the kickoff date in your order form, by card or bank transfer. Applicable taxes are added. Your $450 monthly price stays the same for your first 24 monthly payments.
If a payment is more than 10 days late, we may pause edits and other work until it is paid. If a payment is more than 30 days late, we may take the website offline until your account is current. If a payment is more than 60 days late, we may end the service as if you had cancelled.
4. Minimum term and cancellation
The minimum term is three monthly payments. After that, the service continues month to month until you cancel. To cancel, give us 30 days’ written notice; email is fine. If you cancel during the minimum term, the remaining payments for the minimum term are still due.
We may end the service with 30 days’ written notice for any reason, or right away if payments are more than 60 days late, if you break these terms, or if the website would be used for something unlawful. If we end the service for any reason other than those, we refund any fees you paid for days after the end date.
5. Ownership
Your domain, your business data, your Google accounts and the content you supply (such as your logo, photos and business details) are always yours. You give us the access we need to do the work.
The website we build for you, including its design, code and the copy we write, is part of the rental. While you subscribe, you have the right to use it for your business. After 24 paid monthly payments, ownership of the design, code and copy made for your website transfers to you. Paused, missed or refunded months do not count toward the 24, and payments do not need to be consecutive. Once ownership transfers, we send you the website files and instructions to move them within 15 business days of your request.
Reusable components we use across many sites stay ours, and you receive a permanent license to keep using them on your website. Third party fonts, images and services stay under their own licenses; we tell you about any limits before you sign.
You can buy the website before the 24th paid monthly payment. We quote the price in writing, and ownership transfers when that payment is made.
6. If you cancel before ownership
You keep your domain, your Google accounts and the content you supplied. Within 15 business days of the end date, we send you a copy of the content you supplied. The website, including its design, code and the copy we wrote, is part of the rental and is taken offline when paid service ends, unless you buy it before the end date under section 5.
7. After ownership: the $250/month plan
Once the website is yours, you can keep everything in your plan for $250/month: hosting, maintenance, monthly edits to existing pages on the same terms as section 2, and local SEO. You can also move the website to another provider at any time.
The $250/month plan is month to month. To cancel, give us 30 days’ written notice. We may change its price with 60 days’ written notice.
8. Your part
You agree to give us accurate information, timely feedback and the access we need, and to supply only content you have the right to use. You are responsible for the claims your business makes on its website and for the content you supply. You agree to cover our reasonable costs if a third party makes a claim against us because of content you supplied.
The website may not be used for anything unlawful, deceptive or harmful. We may remove content that breaks this rule.
9. Third party services
The service relies on hosting providers, Google and other third parties. We are not responsible for their outages, policy changes or decisions, including whether Google verifies or keeps a Business Profile. We will tell you when an issue outside our control affects your website and what we are doing about it.
10. Our responsibility
We do the work with reasonable care and skill. Apart from what these terms state, the service is provided as is, to the extent the law allows. Our total liability for any claim is limited to the fees you paid in the three months before the claim. Neither of us is liable for indirect or consequential losses, such as lost profits or lost data, to the extent the law allows.
11. Work shown on this site
Website previews on this site show captures of live sites, shown with each owner’s permission. Each site belongs to its owner. We show your website in our work only with your permission.
12. Changes to these terms
We may update these terms. For existing subscriptions, changes take effect 30 days after we email you about them. Changes never raise your $450 monthly price during your first 24 monthly payments.
13. Governing law
These terms are governed by the laws of California. If a disagreement comes up, we will both first try to resolve it in good faith by talking. If that does not work, the courts in San Francisco County, California handle it.
